EnergyTrend has learned that on August 12, Sunwoda announced its plan to jointly invest in establishing a new company alongside three enterprises: Dianlian Tech, Shenzhen Li'an, and Xincheng Zhiyuan.
According to the announcement, the new company is tentatively named Shenzhen Xincheng Digital Services Co., Ltd., with a registered capital of RMB 10 million.

The joint venture is planned to be registered in the Qianhai Shenzhen-Hong Kong Modern Service Industry Cooperation Zone in Shenzhen. Its business scope includes engineering and technology research and experimental development, natural science research and experimental development, software and services related to blockchain technology, basic artificial intelligence software development, artificial intelligence industry application system integration services, sales of electronic products, software sales, and intelligent control system integration, among others, subject to final registration with industrial and commercial authorities.
It is reported that Shenzhen Li'an is a wholly-owned subsidiary of Shandong Li'an New Energy. Since Sunwoda's actual controllers, Wang Mingwang and Wang Wei, exert significant influence over Shandong Li'an New Energy, Shenzhen Li'an is designated as a related party of Sunwoda. This external investment constitutes a related-party transaction. Having been reviewed and approved by Sunwoda's Board of Directors, the matter does not require submission to the shareholders' meeting for approval. The transaction does not constitute a major asset reorganization.
As of the announcement's disclosure date, the parties intend to sign an "Investment Cooperation Agreement." All parties will fund their contributions in cash using self-owned funds, which will be paid in installments based on the joint venture's actual capital requirements, with all registered capital to be fully paid within five years of the company's establishment date at the latest.
Sunwoda stated that establishing Xincheng Digital in collaboration with the three companies aligns with global trends toward digital and green development in the new energy sector. It is an important step toward meeting new international battery compliance regulations and overseas market growth demands, effectively solidifying the compliance foundation for the company's global expansion. Additionally, it will help Sunwoda uncover new industry opportunities and foster high-quality emerging growth drivers.
