JinkoSolar Holding Co., Ltd., a global enterprise in the solar PV industry, announced on January 14th the commencement of the offering of 2,750,000 American Depositary Shares, each representing four ordinary shares of the Company, at par value US$0.00002 per share (plus up to an additional 412,500 ADSs pursuant to an over-allotment option), and a concurrent offering of up to US$100.0 million in aggregate principal amount of convertible senior notes due 2019 (plus up to an additional US$15.0 million aggregate principal amount pursuant toan over-allotment option). The offerings are subject to market conditions and other factors.
Credit Suisse Securities (USA) LLC is acting as sole book-running manager for the ADS Offering and the Notes Offering.
The closing of the Notes Offering is contingent upon the closing of the ADS Offering, and the closing of the ADS Offering is contingent upon the closing of the Notes Offering.
