Trina Solar Plans 40-Million-Yuan Acquisition for a 1.6% Stake in Betterial

On the evening of October 15, Trina Solar issued an announcement stating its intention to use 40 million yuan of its own funds to acquire 3.274 million shares of Changzhou Betterial Film Technologies Co., Ltd. (Betterial), currently held by Jiangsu Baixing Industrial Investment Group Co., Ltd., representing 1.6% of Betterial's total share capital.

According to the announcement, the target of this transaction, Betterial, primarily specializes in photovoltaic encapsulant films, an industry that shares strong synergies with Trina Solar's core business. By acquiring a portion of its equity, the company aims to deepen industrial collaboration through equity ties and ensure the supply stability of its industrial chain.

Upon the completion of the transaction, Trina Solar will hold a 1.6% equity stake in Betterial. The post-transaction equity structure is as follows:

Trina Solar stated that the transaction will be financed with its own funds and will not have a material impact on the normal operations of its main business, financial condition, or operating results. Following the completion of the transaction, Betterial will still not be consolidated into Trina Solar's financial statements. The company also cautioned that this transaction is still subject to uncertainties, and the final outcome will depend on the officially signed agreement.

On the same day the investment announcement was released, Trina Solar held an online earnings briefing to engage in in-depth discussions with investors regarding several hot topics.

The company noted that the profitability of its solar modules gradually recovered in the first half of the year, primarily driven by factors such as the pullback of precious metal prices from their temporary peaks and the strengthening of cost control measures. In the second half of 2026, with the growing sales volume of TOPCon 3.0 products, the arrival of the industry's seasonal peak, and the continuous advancement of anti-involution (mitigating excessive internal competition) efforts, module prices are expected to rise. Consequently, the loss margin of the module business is anticipated to narrow, and the company will strive to turn its operating performance from a loss to a profit as early as possible.

In terms of product layout, Trina Solar has formulated a dual-engine drive strategy of "TOPCon 3.0 + THBC," deploying tailored products for different application scenarios such as centralized utility-scale power plants and high-value rooftops, while planning to increase the sales proportion of high-value-added modules.

Regarding the energy storage business, in the first half of 2026, Trina Solar's overseas energy storage shipments accounted for more than 90% of its total. Among these, high-value markets such as Europe and Latin America demonstrated strong profitability, making up over half of the overall shipment volume, which helped maintain the overall gross margin of the overseas energy storage segment at a relatively high level. As of the end of June 2026, the company's cumulative global shipments of energy storage systems had surpassed 25 GWh.

Furthermore, Trina Solar disclosed that the company expects perovskite tandem solar cells to enter a small-scale mass production phase between 2028 and 2029, and to achieve gigawatt-level (GW-level) production capacity by 2029. The specific implementation pace will be adjusted in a timely manner based on market demand.
