Three-Party Cooperation: 4GW HBC Upgrade Project Lands

According to BJX.Com, Golden Solar New Energy Technology Holdings Limited issued an announcement stating that its indirect wholly-owned subsidiary, Golden Solar Quanzhou New Energy Technology Co., Ltd. , has entered into a joint venture agreement with Yiwu JA Solar Technology Co., Ltd.  and Fujian Gold Stong Energy Co., Ltd. regarding a proposed 4-gigawatt (GW) Heterojunction Back Contact (HBC) upgrade project joint venture.

According to the agreement, Yiwu JA Solar and Fujian Jinshi have agreed to establish a joint venture company in China to produce a total of 4GW of HBC solar cells, and Golden Solar Quanzhou has agreed to grant the joint venture the right to use its HBC solar cell patent technology. It is expected that Yiwu JA Solar and Fujian Gold Stong will hold minority and majority equity stakes in the joint venture, respectively, while Golden Solar Quanzhou will not hold any equity in the joint venture.

This plan will utilize the equipment and facilities of the previous generation Passivated Emitter and Rear Cell (PERC) technology, coupled with the Group's patented technology portfolio, to upgrade to the higher conversion efficiency HBC technology.

The announcement shows that there is currently over 200 gigawatts of idle capacity of previous generation PERC production lines in the industry awaiting upgrades. Golden Solar New Energy is actively promoting the upgrade of idle PERC and TOPCon production lines in the industry to HBC, leveraging the efficiency and cost advantages of HBC to further develop a new business model for licensing the Group's HBC patent technology. Several leading solar energy companies are currently in discussions with the Group regarding more licensing businesses related to HBC patent technology. In addition, Golden Solar New Energy has also successfully developed a copper-clad silver paste specifically for HBC cells to replace expensive silver paste, hoping to attract more other solar companies to use HBC technology with lower material costs, thereby promoting this new business model.

To facilitate the joint venture's use of Golden Solar Quanzhou's HBC solar cell patent technology for the project, according to the agreement, the joint venture will enter into an intellectual property license agreement with Golden Solar Quanzhou within 7 days from the date of establishment of the joint venture, and Golden Solar Quanzhou will grant the joint venture the right to use its HBC solar cell patent technology within 60 working days from the date of establishment of the joint venture, in consideration of the joint venture paying an intellectual property license fee to Golden Solar Quanzhou.
